1. Agreement to Terms

By accessing or using Boardwise ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Boardwise provides board management software designed to help organizations manage meetings, documents, and communications for boards and committees. We offer the Service on a subscription basis for $200 per month per organization.

3. Account Registration

To use the Service, you must:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Promptly update your account information as needed
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use

You agree to use Boardwise only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit harmful code, viruses, or malware
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or unsolicited communications
  • Impersonate another person or organization

5. Payment Terms

Subscription Fee: The Service is available for $200 per month per organization.

Billing: Subscription fees are billed monthly in advance. Payment is due upon receipt of invoice.

Automatic Renewal: Subscriptions automatically renew each month unless cancelled.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.

Price Changes: We may change our prices with 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

6. Data Ownership and Privacy

Your Data: You retain all rights to the data you upload to Boardwise. We claim no ownership of your content.

License to Us: You grant us a limited license to use, store, and backup your content solely to provide the Service to you.

Privacy: We handle your data in accordance with our Privacy Policy.

Data Export: You may export your data at any time through the Service's export features.

7. Confidentiality

We understand that board materials are highly confidential. We agree to:

  • Maintain strict confidentiality of all your data
  • Not access your data except as necessary to provide the Service
  • Not disclose your data to third parties except as required by law
  • Implement appropriate technical and organizational security measures

8. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we'll notify you in advance when possible)
  • Emergency repairs or updates
  • Causes beyond our reasonable control

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Boardwise and is protected by international copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOARDWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO BOARDWISE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Indemnification

You agree to indemnify and hold harmless Boardwise, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for:

  • Breach of these Terms
  • Non-payment of fees
  • Conduct that we believe harms the Service or other users
  • Request by law enforcement or court order

Upon termination, your right to use the Service will cease immediately. You may download your data for 30 days following termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in San Francisco County, California.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Boardwise regarding the use of the Service.
